This development comes as a key development for the technology services industry as Galaxy Germany Holding SE, which is wholly owned by Persistent Systems Limited, enters into a Business Combination Agreement to make an all-cash voluntary public tender offer for the German digital engineering company, Nagarro SE, at EUR 81 per share. With the support of Nagarro’s Management Board and Supervisory Board, this business combination will create a global powerhouse of AI-driven digital engineering and enterprise modernization that has a run-rate of around USD 2.9 billion and more than 46,000 associates working in over 40 countries. The highly lucrative bid offers 140 percent premium to the undisturbed closing price of Nagarro’s shares on June 25, 2026, and Persistent has already secured 21 percent equity interest in Nagarro through an agreement with the largest shareholder of Nagarro.

With the integration of Persistent’s North America scale and AI-driven engineering leadership with Nagarro’s European strengths and ERP and CX strengths, Persistent-Nagarro group can address complex multi-region intelligence transformation programs. Sandeep Kalra, CEO and Executive Director of Persistent, highlighted the strategic gravity of the merger, stating, “The next wave of enterprise transformation will be defined by AI, engineering excellence, and global scale. Bringing Nagarro and Persistent together is a defining milestone in our journey to build a global, engineering-led technology services leader.” The transaction, expected to close between Q4 2026 and Q1 2027 subject to regulatory approvals and minimum acceptance thresholds, will expand Persistent’s European revenue share from 9% to 22%, driving localized delivery excellence alongside extensive global execution muscle.
