Ecolab has announced a definitive agreement to acquire CoolIT Systems, a leading provider of advanced liquid cooling technologies for next-generation AI data centers, in an all-cash transaction valued at approximately $4.75 billion, marking a strategic move to strengthen its position in the rapidly expanding AI infrastructure market; the acquisition is expected to significantly accelerate Ecolab’s growth by enhancing its Global High-Tech segment and enabling the company to deliver a comprehensive, end-to-end platform for fluid management and cooling in high-performance computing environments, where traditional air cooling is increasingly being replaced by more efficient liquid-based systems capable of handling higher chip densities and power demands.

CoolIT, currently owned by funds managed by KKR, specializes in designing and manufacturing liquid cooling solutions used by hyperscale and colocation data centers, and is projected to generate around $550 million in revenue over the next 12 months, reflecting strong demand driven by the global surge in AI workloads and data center expansion. By integrating CoolIT’s expertise in thermal engineering and hardware with its own strengths in water management, chemistry, and digital monitoring, Ecolab aims to position itself as a comprehensive solutions provider in the evolving data center ecosystem, while also advancing sustainability and operational efficiency for customers managing energy-intensive AI infrastructure. The transaction, expected to close in the third quarter of 2026, is anticipated to be accretive to Ecolab’s adjusted earnings per share by 2028, underscoring the long-term financial and strategic value of the deal, as enterprises and technology providers continue to invest heavily in AI-driven computing capabilities, fueling demand for innovative cooling technologies that can support the next wave of digital transformation.
