Amphenol Corporation has announced a definitive agreement to acquire the Connectivity and Cable Solutions (CCS) business of CommScope in an all-cash transaction valued at $10.5 billion.

This strategic acquisition is set to significantly strengthen Amphenol’s position in the fast-evolving IT and data center infrastructure sector. By incorporating CommScope’s CCS business into its portfolio, Amphenol aims to enhance its capabilities, particularly in the high-growth area of fiber optic interconnect products tailored for artificial intelligence (AI) applications. The move will also broaden the company’s diversified suite of interconnect solutions across multiple industries.

Upon completion of the deal, Amphenol will gain ownership of three core segments within CommScope’s CCS business: Data Center Connectivity Solutions, Broadband Communications, and Building Connectivity Solutions. These divisions specialize in delivering fiber optic and various interconnect technologies used in data centers, communication networks, and industrial environments.

The CCS unit is expected to generate approximately $3.6 billion in revenue with EBITDA margins of 26% in 2025. The acquisition is anticipated to be accretive to Amphenol’s earnings per share in the first full year following the transaction’s close.

To support the acquisition, Amphenol plans to utilize a mix of existing cash and new debt financing. The company has secured committed financing from J.P. Morgan Securities LLC, BNP Paribas, and Mizuho Bank, Ltd. to ensure smooth execution of the deal.

This acquisition marks a significant milestone for Amphenol as it continues to expand its footprint in next-generation connectivity markets, with a strong focus on meeting the growing demand driven by AI and digital transformation.
